Terms of Use

Farzana Badrun, MD, PC, d/b/a New Essence Health
Effective date: October 28, 2026

1. Acceptance of These Terms

By using this website, you agree to these Terms of Use. If you do not agree, please do not use the site.
This website is operated by Farzana Badrun, MD, PC, doing business as New Essence Health (“New Essence Health,” “we,” “us,” or “our”), a Georgia professional corporation located at 3143 E Shadowlawn Ave NE, Atlanta, GA 30305. These Terms apply to the public website at newessencehealth.com and its public informational pages and inquiry forms (together, the “Site”). The Site does not include patient portals, clinical messaging, telemedicine platforms, or payment services, which are governed by their applicable separate agreements and notices.
These Terms govern public website use only. They do not govern clinical care, membership, fees, recurring payments, or informed consent. Separate patient, membership, portal, payment, and consent agreements control those matters and prevail over these Terms in the event of a conflict concerning their subject matter. These Terms do not replace the Privacy Policy or any applicable Notice of Privacy Practices, or authorize uses or disclosures requiring separate consent or authorization.

2. No Medical Advice and No Patient-Physician Relationship

The Site provides general information about our practice and about health topics. It is educational only and is not medical advice, diagnosis, or treatment. Do not use it as a substitute for professional medical care.
Visiting the Site, reading its content, or submitting a general inquiry does not, by itself, establish a patient-physician relationship. Our usual enrollment process requires completion of the required agreements and confirmation of acceptance by the practice. Nothing in these Terms overrides a relationship or professional duty that arises under applicable law or from care actually provided.
In an emergency, call 911 or go to the nearest emergency room. Do not use the Site, email, or web forms to reach us about urgent or emergency symptoms. Messages sent through the Site are not monitored in real time.
Health information changes, and individual circumstances differ. We do not guarantee that Site content is complete, current, or right for your situation, and we make no promises about specific health outcomes. Telemedicine services are offered to people located in Georgia at the time of the visit, when clinically appropriate, and are not available in every situation.

5. Disclaimers and Limits on Liability

The Site is provided “as is.” We provide the Site and its content on an “as is” and “as available” basis, without warranties of any kind, express or implied, including warranties of accuracy, completeness, fitness for a particular purpose, or non-infringement. We do not promise that the Site will be uninterrupted, error-free, or free of harmful components.

Limit on liability. Subject to the exceptions below and to the fullest extent permitted by law, Farzana Badrun, MD, PC and its owners, physicians, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of, inability to use, or reliance on the public informational Site. This exclusion does not exclude all direct damages.

Aggregate cap. Subject to the exceptions below and to the fullest extent permitted by law, the total aggregate liability of the practice and the persons identified above for claims arising from the public informational Site will not exceed [aggregate cap amount to be approved by counsel before publication]. This cap is separate from the exclusion of specified categories of damages above.

Indemnification. To the extent permitted by law, you agree to indemnify Farzana Badrun, MD, PC and its owners, employees, and agents for damages and reasonable expenses, including reasonable attorneys’ fees, awarded in a third-party claim or paid in a settlement you approve, but only to the extent caused by your unlawful use of the Site or material breach of these Terms. This obligation does not apply to losses caused by the negligence, misconduct, or breach of duty of a person seeking indemnification, and does not impose a separate duty on you to defend a claim. We will give you reasonably prompt notice of a claim and a reasonable opportunity to participate in its resolution. No settlement may impose an admission or nonmonetary obligation on you without your written consent.

Exceptions and preserved rights. The warranty disclaimers, damages exclusion, and aggregate cap in this Section apply only to the public informational Site. They do not apply to clinical care, professional negligence, duties owed to patients, obligations under separate patient agreements, breaches of privacy, confidentiality, or security obligations, fraud, gross negligence, or willful misconduct. Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited. Where applicable law does not permit a disclaimer or limitation, it does not apply to that extent.

6. Governing Law, Changes, and General Terms

Governing law. These Terms are governed by Georgia law, without regard to conflict-of-law rules, subject to applicable nonwaivable law. To the extent permitted by law, disputes arising from these Terms or public Site use must be brought in the state courts in Fulton County, Georgia, or, where federal subject-matter jurisdiction exists, the United States District Court for the Northern District of Georgia, Atlanta Division. You and the practice consent to personal jurisdiction in those courts. This provision does not govern disputes under separate patient or membership agreements.

Changes. We may revise these Terms prospectively. The effective date identifies the current version. We will provide conspicuous notice on the Site of material changes before they take effect and request renewed affirmative acceptance where appropriate or required by law. Changes do not apply retroactively to claims or disputes arising before their effective date. Continued use alone does not constitute acceptance where applicable law requires additional notice or affirmative consent.

Severability and entire agreement. If any provision is unenforceable, the remaining provisions remain in effect to the extent permitted by law. These Terms constitute the agreement concerning public Site use only. The Privacy Policy describes our information practices and is not a blanket consent or authorization. Separate patient, membership, portal, payment, and consent agreements remain in effect and control their respective subject matter as described in Section 1.

Suspension and termination. We may restrict public Site access as reasonably necessary to address misuse, security risks, legal requirements, or Site maintenance or discontinuation. We will provide notice where reasonably practicable, unless immediate action is needed or notice is prohibited by law. Restricting public Site access does not itself terminate a patient relationship or membership, cancel obligations under separate agreements, or limit rights of access to medical records or other patient rights. Any restriction on clinical portal access or termination of care is subject to applicable law, professional duties, and the governing patient agreements.
